Terms of Service
Version 2026-10-22-draft
Last Updated: October 21, 2026
Effective Date: October 21, 2026
PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY BEFORE ACCESSING OR USING THE SERVICES OFFERED BY FLEETOPSOS ("FLEETOPSOS," "WE," "US," OR "OUR"). BY VISITING FLEETOPSOS.COM, CREATING AN ACCOUNT, PURCHASING A REPORT, SUBSCRIBING TO A PLAN, OR USING OUR API, YOU ("CUSTOMER," "USER," OR "YOU") AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU ARE NOT AUTHORIZED TO ACCESS OR USE THE SERVICE.
1. The Service & Eligibility
1.1 Service Scope. FleetOpsOS operates a commercial carrier intelligence platform providing data lookup, safety scoring, operating authority tracking, and compliance reporting tools via our web application and Application Programming Interface ("API").
1.2 Eligibility. You represent and warrant that you are at least 18 years old, possess the legal capacity to enter into binding contracts, and are acquiring access to the Service for commercial, freight, brokerage, carrier compliance, or business evaluation purposes.
1.3 Account Security. You must maintain the confidentiality of your account credentials, API tokens, and access keys. You are solely responsible for all activities and transactions executed under your credentials. You must notify FleetOpsOS immediately of any unauthorized breach or account misuse.
2. Sourcing of Data, Public Domain Status, & Government Non-Endorsement
2.1 Public Domain Records. You acknowledge that certain carrier census, safety inspection, licensing, operating authority status, and insurance filing data displayed across the Service is compiled, parsed, and indexed from public records published by the Federal Motor Carrier Safety Administration ("FMCSA") and the United States Department of Transportation ("USDOT") pursuant to 17 U.S.C. § 105. FleetOpsOS claims no ownership or copyright over raw public domain government records.
2.2 Software & Processing Fees. All subscription fees, one-time report fees, and API charges paid to FleetOpsOS represent payment exclusively for our proprietary software, search indexing, data normalization pipelines, UI/UX visualization tools, reporting infrastructure, and continuous platform hosting. No fees are charged for the underlying public records themselves.
2.3 No Government Affiliation or Endorsement. FleetOpsOS is an independent, privately owned commercial platform. It is not an agency, component, contractor, or affiliate of the FMCSA, the USDOT, or any state or federal governmental entity. No report, badge, or score generated by FleetOpsOS implies sponsorship, certification, or endorsement by the United States Government.
2.4 Data Currency & Operational Reliance. While FleetOpsOS synchronizes records with primary databases on a periodic schedule, regulatory filings, insurance cancellations, and authority revocations may experience latency, processing backlogs, or clerical errors at the federal level. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. You remain solely responsible for performing statutory carrier verification and due diligence before tendering, brokering, or transporting freight.
3. Billing, Subscriptions, & Stripe Processing
3.1 Third-Party Payment Processing. All billing, payment collection, and invoicing are conducted through our third-party payment gateway, Stripe, Inc. ("Stripe"). By submitting payment details, you agree to comply with Stripe’s relevant terms of service and privacy policies, and authorize FleetOpsOS and Stripe to store payment credentials and process associated recurring or transactional charges.
3.2 Recurring Subscriptions. Subscription tiers (e.g., Pro, Fleet Unlimited) bill automatically in advance on a recurring monthly or annual cycle as selected during checkout. Your billing cycle begins on the day initial payment is processed.
3.3 Automatic Renewal & Cancellation. Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date via the FleetOpsOS Customer Billing Portal (managed by Stripe) or your account dashboard. Cancellation takes effect at the conclusion of the current prepaid billing period; you retain access through the end of that period.
3.4 No Refunds. Except where strictly required by applicable law, all subscription fees, one-off report charges, and metered API fees are non-refundable. FleetOpsOS does not provide prorated refunds or credits for partially used billing periods or unused query allocations.
3.5 Fee Adjustments. FleetOpsOS reserves the right to modify subscription pricing at any time. Any price changes will take effect at the start of your subsequent billing cycle following at least thirty (30) days’ written notice delivered to your registered account email.
4. API Usage, Query Quotas, & Platform Integrity
4.1 Tier Quotas. Each subscription plan and guest access tier provides defined query limits (e.g., monthly report allotments, bulk uploads, or API requests). Unused monthly lookups or API calls do not roll over across billing cycles.
4.2 Rate Limits & API Restrictions. When utilizing our API or web interface, you agree not to:
Circumvent, manipulate, or exceed published rate limits, concurrent connection ceilings, or automated query throttles;
Share, publish, or distribute private API tokens outside of your authorized business organization;
Deploy automated scraping engines, headless scrapers, or bot nets against FleetOpsOS web endpoints to evade authentication or metering gateways;
Resell, white-label, rent, or redistribute FleetOpsOS raw API responses as a competing standalone commercial carrier lookup directory without explicit written agreement from FleetOpsOS.
4.3 Throttling & Suspension. FleetOpsOS reserves the unilateral right to throttle request rates, invalidate API keys, or terminate accounts immediately if usage threatens platform stability, degrades system latency, or indicates abusive scraping patterns.
5. Intellectual Property
Except for raw public domain government records defined in Section 2, all software code, visual designs, database architectures, documentation, interfaces, algorithms, trademarks, and branding associated with FleetOpsOS are the exclusive intellectual property of FleetOpsOS and its licensors. You receive a limited, revocable, non-exclusive, non-transferable license to access and use the Service strictly in accordance with these Terms during your active subscription or account term.
6. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, DOCUMENTATION, SCORES, AND ALL COMPILED DATA ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR SYSTEM UPTIME. FLEETOPSOS DOES NOT GUARANTEE THAT CARRIER SAFETY SCORES, OPERATING STATUS, OR INSURANCE FILINGS ARE ACCURATE, COMPLETE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FLEETOPSOS, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES—INCLUDING BUT NOT LIMITED TO LOST FREIGHT REVENUE, CARGO LOSS, BROKERAGE LIABILITY, PROPERTY DAMAGE, FINES LEVIED BY THE USDOT/FMCSA, BUSINESS INTERRUPTION, LOSS OF PROFITS, OR DATA LOSS—ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO FLEETOPSOS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
8. Indemnification
You agree to defend, indemnify, and hold harmless FleetOpsOS and its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable legal and accounting fees) arising out of or in any way connected with: (a) your violation of these Terms; (b) your commercial reliance on data outputs to dispatch, hire, or reject carriers; or (c) your violation of any third-party rights or applicable transportation regulations.
9. Modifications to Terms
FleetOpsOS reserves the right to amend these Terms at any time by posting updated terms on FleetOpsOS.com with a revised "Last Updated" date. Material modifications affecting billing practices or core platform use will be communicated via your registered account email or a prominent banner in the dashboard. Continued use of the Service following the posting of modifications constitutes your acceptance of the updated Terms.
10. Governing Law & Dispute Resolution
These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal or state courts located in Salt Lake County or Utah County, Utah, and each party irrevocably submits to the exclusive personal jurisdiction of such courts.
